Terms of Service

Wonr is an outreach and business development platform designed for small and medium agencies. The service includes tools for lead management, prospect research, outreach tracking, follow-up reminders, and proposal generation.

Wonr is offered in two plans: a Free plan and a Pro plan (described in Section 5). The features available to you depend on your current plan.

We reserve the right to modify, suspend or discontinue any part of the service at any time, with reasonable notice where possible.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your business. By using Wonr, you represent and warrant that you meet these requirements.

Wonr is intended for business use by agencies and professionals. It is not intended for personal or consumer use.

To use Wonr, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify us immediately at legal@wonr.io if you suspect any unauthorised use of your account.

One account may be used by one person. Sharing credentials across multiple users is not permitted unless you are on a plan that includes team members.

You agree to use Wonr only for lawful purposes and in accordance with these Terms. You must not:

• Use Wonr to send unsolicited bulk emails or spam.
• Harvest or scrape contact data in violation of applicable laws, including GDPR, CAN-SPAM, or CASL.
• Use Wonr to harass, threaten or harm any individual or business.
• Attempt to gain unauthorised access to any part of the service or its infrastructure.
• Reverse engineer, decompile or disassemble any part of the Wonr platform.
• Resell, sublicense or otherwise commercially exploit the service without our written permission.
• Upload or transmit malicious code, viruses or any content that is illegal, defamatory or infringing.

We reserve the right to suspend or terminate accounts that violate these acceptable use provisions, without notice or refund.

Free Plan: The Free plan is available at no cost and includes a limited set of features as described on our pricing page. The Free plan is intended for individual use and small-scale evaluation of the product. We reserve the right to modify the features included in the Free plan at any time.

Pro Plan: The Pro plan is a paid subscription at $39 per month (or as otherwise stated at the time of purchase). It includes the full feature set as described on our pricing page. Pro plan features may be updated from time to time; we will notify you of material changes in advance.

Early Access: Waitlist members who join during the early access period may receive Pro access free of charge for 3 months, as communicated at the time of invitation. After the promotional period, the standard Pro plan pricing applies.

Pro plan subscriptions are billed monthly in advance. All payments are processed securely by Stripe. By subscribing, you authorise Stripe to charge your payment method on a recurring monthly basis until you cancel.

All prices are in USD unless otherwise stated. Prices are exclusive of any applicable taxes. You are responsible for any taxes applicable in your jurisdiction.

If a payment fails, we will attempt to retry the charge. If payment cannot be collected after reasonable attempts, your account may be downgraded to the Free plan or suspended.

We reserve the right to change pricing with 30 days' written notice to existing subscribers. Continued use of the service after the notice period constitutes acceptance of the new pricing.

Cancellation: You may cancel your Pro subscription at any time from your account settings or by contacting us at legal@wonr.io. Your cancellation takes effect at the end of the current billing period. You will retain Pro access until then.

Refunds: We do not provide refunds for the current billing period after a charge has been made. If you cancel, you will not be charged for subsequent billing periods. In exceptional circumstances (e.g. service outages of significant duration), we may at our discretion issue a partial or full refund.

If you believe you have been charged in error, please contact us within 14 days of the charge at damian.bergemann@outlook.com.

The Wonr platform, including its design, code, trademarks, and content, is owned by Wonr and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the service for your internal business purposes.

Your data: You retain full ownership of all data you enter into Wonr, including your prospect and lead data. By using the service, you grant us a limited licence to process that data solely for the purpose of providing the service to you.

You may not use Wonr's name, logo or branding without our prior written consent.

Your use of Wonr is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Wonr is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or free of viruses or harmful components. We do not guarantee any specific business outcomes, including the number of clients or deals you will close.

To the maximum extent permitted by applicable law, Wonr shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, goodwill or business opportunities, arising out of or in connection with your use of the service.

Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

You agree to indemnify and hold harmless Wonr, its officers, directors, employees and agents from any claims, damages, losses or expenses (including legal fees) arising out of or in connection with your use of the service, your violation of these Terms, or your violation of any third-party rights.

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or if continuing to provide the service creates legal or operational risk for us.

You may terminate your account at any time by contacting us. Upon termination, your right to use the service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a prominent notice on the website at least 14 days before the changes take effect. Your continued use of Wonr after the effective date constitutes your acceptance of the updated Terms.

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Wonr is incorporated, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
